Terms and Conditions

These Terms and Conditions govern access to and use of Select, the inference routing and model access service operated by Realtime Comms Ltd.

1. Who We Are

Select is operated by Realtime Comms Ltd, a company registered in England and Wales under company number 15584611.

2. The Service

Select provides an API and dashboard for accessing, routing, and using third-party and hosted AI models through a Select endpoint. The service may include direct model selection, smart routing, usage metering, API key management, model availability features, documentation, scripts, and developer tools.

We act as a service provider and technical intermediary for model access. Some model responses are generated by third-party providers, infrastructure providers, or upstream model operators. We do not guarantee that any particular model, provider, route, latency, output, or feature will always be available.

3. Account Responsibility

  • You must be at least 18 years old and able to enter into a binding contract.
  • You are responsible for all activity under your account and API keys.
  • You must keep API keys and login links secure.
  • You must not publish API keys or embed them in client-side code, public repositories, mobile apps, browser extensions, or other extractable locations.
  • You must promptly tell us if you suspect unauthorised access.

4. Acceptable Use

You must not use Select to:

  • break the law or infringe the rights of others;
  • generate or distribute malware, phishing content, credential theft tools, exploit instructions, or other harmful code;
  • abuse, overload, disrupt, probe, scrape, reverse engineer, or bypass the service or any upstream provider;
  • avoid rate limits, billing, safety controls, authentication, or monitoring;
  • process data that you are not authorised to provide to the service;
  • submit highly sensitive data unless we have agreed suitable written terms with you in advance;
  • use outputs as a substitute for professional legal, medical, financial, safety-critical, or other regulated advice.

5. Customer Content and Outputs

Customer Content means prompts, messages, files, code, metadata, tool outputs, and other material submitted to Select by you or on your behalf. Output means model-generated responses returned through Select.

You retain ownership of your Customer Content. You grant us the rights needed to operate Select, including to transmit Customer Content to selected upstream providers, process requests, return Outputs, meter usage, detect abuse, secure the service, debug errors, and comply with law.

AI Outputs may be inaccurate, incomplete, offensive, unsafe, or unsuitable for your use case. You are responsible for evaluating Outputs before relying on them.

6. Third-Party Models and Providers

Select may route requests to third-party model providers, hosting providers, payment processors, analytics, email, database, infrastructure, and security services.

Upstream providers may impose technical limits, safety policies, availability constraints, pricing changes, and error behaviour. We may add, remove, rename, suspend, or replace models or providers at any time.

We are not responsible for third-party provider failures, downtime, data loss, rate limits, pricing changes, policy decisions, or model behaviour, except to the extent required by law.

7. Pricing, Credits, and Billing

Select is billed on a usage basis unless otherwise agreed in writing. Prices may be displayed per million tokens, per request, per feature, or by another stated unit.

Balances are monetary balances, not bank deposits. Balances have no cash value and are not transferable. Usage charges are deducted automatically based on measured or estimated usage.

Prices may include our margin over upstream provider costs. Upstream promotional rates may end, and our pricing may change accordingly. Usage estimates and final charges may differ because tokenisation, provider-reported usage, cache usage, retries, streaming, routing, and model-specific accounting can vary.

Payments are generally non-refundable except where required by law or expressly agreed by us.

8. Rate Limits and Service Protection

We may apply rate limits, request size limits, token limits, concurrency limits, usage caps, or other controls at account, API key, IP, endpoint, route, provider, model, or system level.

Published limits are not guaranteed entitlements. We may change limits temporarily or permanently to protect service stability, manage upstream constraints, prevent abuse, or control risk. You must not attempt to evade limits by creating multiple accounts, rotating keys, distributing requests artificially, or using other circumvention methods.

9. Availability and Changes

Select is provided on an as available basis. We do not guarantee uninterrupted operation, error-free responses, fixed latency, permanent availability of any model, or compatibility with every client library.

We may update, modify, suspend, or discontinue any part of the service. Urgent changes may be made without notice.

10. Security and Confidentiality

We use reasonable technical and organisational measures to protect the service. No system is completely secure. You are responsible for securing your own systems, credentials, prompts, outputs, integrations, and downstream uses.

Each party must use reasonable care to protect confidential information and only use it for purposes connected with these Terms.

11. Data Protection

Our processing of personal data is described in our Privacy Policy. For account, billing, security, and service administration data, we generally act as controller.

Where you submit personal data in Customer Content for processing through the API, you are responsible for having a lawful basis and notices for that processing. Depending on the circumstances, we may act as processor or sub-processor for that Customer Content. If you need a data processing agreement, contact hello@select.ax before using the service for production personal data.

12. Intellectual Property

We and our licensors retain all rights in Select, including software, infrastructure, documentation, trademarks, designs, and service content.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use Select for your internal business or development purposes.

13. Warranties and Liability

To the maximum extent permitted by law, Select is provided as is and as available. We disclaim implied warranties, conditions, and representations, including fitness for a particular purpose, merchantability, accuracy, non-infringement, uninterrupted availability, and error-free operation.

Nothing in these Terms excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

To the maximum extent permitted by law, Realtime Comms Ltd will not be liable for loss of profits, revenue, business, goodwill, anticipated savings, data, indirect damages, consequential damages, special damages, exemplary damages, punitive damages, third-party provider failures, model outputs, downtime, rate limits, customer misuse, or unauthorised API key use.

Subject to any liability that cannot be limited by law, our total aggregate liability arising out of or relating to Select or these Terms is limited to the greater of the amount you paid us for Select in the three months before the event giving rise to the claim, or GBP 100.

14. Suspension and Termination

We may suspend or terminate your access if you breach these Terms, payment fails or is disputed, your use creates risk for us, other customers, or upstream providers, we are required to do so by law or provider policy, or we discontinue the service.

After termination, we may delete or retain data in line with our Privacy Policy, legal obligations, and legitimate business needs.

15. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where applicable consumer law requires otherwise.
